AlgaPSA EE Source Code License Agreement
This License Agreement (“Agreement”) is entered into by and between Nine Minds LLC (“Licensor”) and you (“Licensee”). This Agreement governs your use of the AlgaPSA Enterprise Edition source code located in the ee/ folder (“Software”).
- Grant of License
1.1 Internal Use License
Licensor grants Licensee a non-exclusive, non-transferable, revocable license to use the Software internally for non-production testing and development purposes only.
1.2 Production Use License
Licensee may use the Software in a production environment only if:
• Licensee has obtained a valid production license from Licensor.
• Licensee complies with all terms specified in the production license, including any limitations on the number of seats or users.
- Restrictions
2.1 No Competitive Use
Licensee shall not use the Software, in whole or in part, to develop, distribute, or provide any product or service that competes with any products or services offered by Licensor.
2.2 Source Code Use
• Licensee may view and modify the source code solely for the purposes permitted under Section 1.
• Licensee shall not distribute, disclose, sublicense, or make available the source code or any derivatives thereof to any third party without prior written consent from Licensor.
- Contributions
3.1 Submission of Patches
Licensee may submit patches or modifications (“Contributions”) to the Software. By submitting Contributions, Licensee agrees that Licensor retains all rights, title, and interest in and to such Contributions.
3.2 Mandatory Submission of Changes
If Licensee makes any changes to the Software and uses such modified Software in a production environment, Licensee must submit those changes back to Licensor promptly.
- No Warranty
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- Limitation of Liability
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- No Other Rights
No rights or licenses are granted or implied except as expressly set forth in this Agreement.
- General Provisions
7.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.
7.2 Entire Agreement
This Agreement constitutes the entire understanding between the parties concerning the subject matter and supersedes all prior discussions and agreements.
7.3 Severability
If any provision of this Agreement is found to be unenforceable, the remainder shall continue in effect.
By using the Software, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
